Terms of use of the Ubyo app. Version 4, effective 18 October 2026.
This English version is a translation provided for convenience. The legally binding text is the Czech original at ubyo.cz/obchodni-podminky. In the event of any discrepancy between the two versions, the Czech wording prevails.
Provider: Sierra Apartments s.r.o., with its registered office at Františka Diviše 1603/20A, 104 00 Prague, Company ID 21803285, VAT number CZ21803285, registered in the Commercial Register kept by the Municipal Court in Prague, Section C, File 406680, data box gw6xygi, e-mail info@ubyo.cz.
Key points (summary; the full wording follows below)
2.1The Contract comes into existence upon completion of Registration. During Registration the User confirms by ticking a box that it has read and accepts these Terms including Annex 1 (the Data Processing Agreement) and the Privacy Policy; the Account comes into existence once the Account owner's e-mail address is verified by clicking the link in the e-mail sent. The Provider retains the version of the Terms accepted, the time and the IP address of acceptance. The Provider may refuse Registration from a disposable (temporary) e-mail address. Registration alone gives rise to no payment obligation; paid functions are activated under Articles 4 and 5.
2.2The App is intended exclusively for businesses. By registering, the User declares that it uses the App in the course of its business, that it is authorised to provide accommodation services (or to manage them for others), and that it is therefore not a consumer. Consumer protection provisions do not apply to the Contract. If the declaration proves untrue, the Provider may terminate the Contract with immediate effect.
2.3The App makes it easier to discharge the duties of an accommodation provider and to run the business. It is not a legal, tax or accounting service and the Provider does not become the User's representative, agent or notifier vis-à-vis any authority. The App submits reports to UbyPort and to data boxes using the User's credentials and in the User's name.
2.4The content of the Help, the guidance, the blog and the alerts in the App is informative, is based on generally available sources and on the Provider's experience, and does not take account of the User's individual situation. The User verifies the correctness of the approach with the relevant authority or adviser.
3.1The Account owner is responsible for the truthfulness and currency of the details of the Account, the Legal entities and the Apartments (in particular the IDUB, UbyPort and data box credentials, rates and accounts for the charge, iCal links, API keys). The User alone is responsible for the accuracy of that information and that responsibility cannot be transferred to the Provider.
3.2The User may grant access to Invited persons. It is liable for their conduct in the App as for its own and shall ensure that they are bound by a duty of confidentiality and instructed in handling Guest data.
3.3The User shall protect its credentials, not share them, and use a sufficiently strong password; the Provider recommends two-factor authentication. The User is liable for the conduct of anyone who signs in with the User's valid credentials until the User notifies the Provider of the misuse and the Provider blocks access.
3.4The App stores credentials for third-party systems in encrypted form and uses them only for the purpose for which the User entered them. The User declares that it is entitled to enter them into the App (in particular that connecting a PMS or platform does not conflict with their terms) and may remove them at any time.
3.5The Provider is entitled to block the Account or part of it temporarily where there is a risk of misuse, an attack on the App, or a breach of the Terms or of legislation, and to do so without prior warning where necessary to avert damage. It shall inform the User without undue delay.
3.6Customer number. Every Account is assigned a customer number upon Registration. The User quotes it as the payment reference and in communication with support; the Provider states it on invoices.
3.7Support access. Support access by the Provider to the Account (support mode) takes place only at the User's instigation or to resolve an operational problem. Every such access is recorded in the Provider's security audit log (who, when, to which Account and for how long).
3.8Duplicate Accounts and Apartments. The Provider is entitled to compare identifiers (Company ID, the IDUB assigned by the police, iCal calendar links, property identifiers from connected platforms, the Apartment address) across Accounts in order to prevent a repeated trial period and double reporting of the same Apartment. An Apartment whose IDUB is already held in another Account cannot be reported to the police from a second Account until the original Account releases it or until the Provider releases it on request; no data is transferred between Accounts (each accommodation provider keeps its own registration book). The Provider may cancel a duplicate Account.
4.1After Registration the User has 7 days of free access with the scope of the Profi Plan. The trial period may be extended once by a further 7 days using a button in the App.
4.2Real reports may be submitted during the trial period. The User is responsible for them in the same way as in paid mode.
4.3Once the trial period expires, the App is locked; the User retains access only to the choice of Plan, payment details and data export. Guest forms and automatic submission are suspended while the Account is locked. If the User does not choose a Plan and pay the subscription within 90 days, the Provider deletes the Account including all data; it gives notice of this by e-mail 14 days in advance. A trial period is not granted repeatedly to the same User or for the same Apartment (Article 3.8).
5.1The price is agreed per Apartment and calendar month in the amount set out in the Price List for the chosen Plan. Prices in the Price List are inclusive of VAT; a change in the VAT rate is reflected in the price as of the date it takes effect. Discounts (annual payment, number of Apartments) apply on the terms set out in the Price List.
5.2The subscription is paid in advance for the chosen period (a month or a year) by bank transfer on the basis of an invoice that the Provider issues in the App and sends by e-mail. A subscription period runs from the day it starts (not by calendar months) and payment extends it by a further period. The Provider issues the invoice for the next period 5 days (monthly Plan) or 14 days (annual Plan) before the paid period ends; the invoice is due within 3 days (monthly Plan) or 7 days (annual Plan) (10 days for invoices for other services). The User can also find the invoice in the App (Account → Subscription). The User marks the payment with the payment reference, which is its customer number. The number of Apartments used to calculate the price is the number of active Apartments as at the date the invoice is issued. The Provider activates the paid functions once the payment is credited; until then the Account runs in the mode under Article 4.3 or 5.5 respectively. If the Account has several Legal Entities, the User may choose invoicing per Legal Entity in the App (Account → Subscription); at the User's request the Provider may also set it up. Each Legal Entity then receives its own invoice for its Apartments and is named on it as the customer. The payment reference (variable symbol) remains the customer number; the individual Legal Entities are distinguished by the specific symbol shown on the invoice, which the User also states with the payment. Without this choice a single invoice is issued for the whole Account, with the Account's first Legal Entity as the customer.
5.3If the User adds an Apartment during a prepaid period, the proportionate part of the price to the end of the period is charged. If the User removes an Apartment or moves to a lower Plan, no refund is given; the change takes effect from the next period. A move to a higher Plan is possible at any time with the difference charged.
5.4The Provider may change the Price List. The new Price List applies to periods beginning no earlier than 14 days after it is published and notified by e-mail; the original price applies until the end of a period already paid for. A User who disagrees may terminate the Contract with effect as of the end of the paid period.
5.5Blocking. If the User fails to pay the invoice for the next subscription period within 3 working days of its due date, the subscription is not extended and the Provider locks the Account (Blocking), but no earlier than the day after the paid period ends: the App, the Guest forms, the guest portal, the cleaning portal and automatic submission of reports are suspended; while Blocking lasts, data export and payment details remain accessible. The Provider sends reminders by e-mail (for a monthly Plan on the due date, for an annual Plan before, on and after the due date) and points out in them that automatic submission will be suspended. The User remains responsible for discharging its statutory duties while Blocking lasts (it must arrange the reporting of foreign nationals, the records and the charge by other means). The Provider lifts the Blocking within 1 working day of the payment being credited. If Blocking lasts 30 days without payment, the Contract ends; the Provider cancels the unpaid invoice for the period that did not start and the User does not pay it. Data is then deleted under Article 6.5. If invoicing per Legal Entity has been chosen and only the invoice of one of them is overdue, the Blocking applies only to the Apartments of that Legal Entity: the Guest forms, the guest portal, automatic and manual submission of reports, calendar synchronisation and editing of reservations for those Apartments are suspended, while the other parts of the Account remain functional. In such a case the Contract ends only once Blocking has lasted 30 days for all Legal Entities to which Apartments are assigned; the right under Article 6.4 is not affected.
5.6Payments made are non-refundable, except in the cases expressly set out in these Terms. The User is not entitled to set off its receivables unilaterally against those of the Provider.
6.1The Contract is concluded for an indefinite period.
6.2Termination by the User. The User may terminate the Contract at any time in the App (Account → Close account) or by e-mail to info@ubyo.cz; the notice also initiates switching under Art. 6.7. A monthly Plan is concluded for an indefinite period and is always paid in advance for one period (Article 5.2). The notice takes effect at the end of the paid period (at the earliest on the day of delivery); the next period no longer starts. Nothing is refunded or charged additionally for the paid period, and the Provider cancels an unpaid invoice for the next period. The User may also close the Account in the App earlier; the paid period is not refunded in that case either. If the User needs a transitional period under Article 6.7 d) after the paid period ends, the Contract is extended at the User's request by at most 30 days at the price under the Price list (a commenced month in full). An annual Plan is concluded for a fixed term of 12 months and the User receives a discount under the Price list for committing to the whole period. For an annual Plan the notice period is 2 months and runs from the delivery of the notice. It is followed by a transitional period of at most 30 days during which the Contract continues, the service runs and the Provider assists with switching; the Contract ends on the day the User completes switching (notifies the Provider or closes the Account in the App), at the latest on the last day of the transitional period. If the User only wishes to have its data erased, the Contract ends upon expiry of the notice period. For the duration of the Contract, including the notice period and the transitional period, the price under the Price list is payable, every commenced month in full. If the Contract ends by the User's notice before 12 months have elapsed: a) the discount for annual payment lapses and all commenced months of the Contract, including the notice period and the transitional period, are charged at the monthly price under the Price list for the Apartments covered by the annual subscription; b) the Provider is entitled to an agreed early-termination fee of three monthly payments (the monthly price under the Price list for the Apartments covered by the annual subscription); the fee covers the lost revenue from the discounted commitment and the costs of early termination and never exceeds the unused part of the annual subscription paid; c) the remaining part of the annual subscription paid, after deducting the amounts under (a) and (b) and any unpaid claims, is refunded by the Provider to the User's bank account within 30 days of the end of the Contract. When choosing an annual Plan in the App, the User confirms that it has read and agrees to these Terms. If the Contract ends under Art. 5.5 or 6.4, the subscription is not refunded (Art. 5.6).
6.3The Provider may terminate the Contract on 1 month's notice; in that case it refunds the proportionate part of an annual subscription for the unused whole months.
6.4The Provider may terminate the Contract with immediate effect and without compensation if the User materially breaches the Terms, in particular if it: misuses the App or jeopardises its security, breaches Article 12, repeatedly enters untrue information, is in default under Article 5.5, or the declaration under Article 2.2 proves untrue. The Provider may also cancel an Account after 12 months with no sign-in and no paid Plan; automatic operation of the Account (synchronisation of reservations, reports submitted) also counts as activity. It gives notice of cancellation by e-mail 30 days in advance. Instead of terminating the Contract, the Provider may, for the same reasons, suspend only the Apartments of the Legal Entity concerned to the extent set out in Article 5.5; it informs the User of the reason by e-mail.
6.5Data after termination. After the Contract ends, the User has 30 days of access to an export of all its data (the registration book, reports and delivery receipts, reservations, settings) in a machine-readable and a printable format; other functions of the App, apart from payment details, are not available. If the User closes the Account in the App, the App prompts it to download its data, and the Provider sends it an e-mail with a link to the export and the deletion date, plus a reminder 7 days before deletion; until the day of deletion the User may reverse the closure in the App. Closing an Account requires the password and, where applicable, the two-factor authentication code. Once the period expires, the Provider irreversibly deletes the User's data including Guest data from the operational database; it disappears from backups through their rotation (daily backups within 14 days, the monthly archive within 3 months); backups are used for nothing other than restoring operation after an incident or restoring an individual User's data at its request. The Provider keeps only what the law requires it to keep (accounting documents), what it needs to establish or defend legal claims (the Contract, the record of acceptance of the Terms, material correspondence), and, for 12 months, one-way hashes of the identifiers under Article 3.8 together with the customer number, solely in order to prevent a repeated trial period and double reporting of the same Apartment (details in the Privacy Policy).
6.6The statutory duty to keep the registration book and the house book for 6 years continues after the Contract ends and is discharged by the User. If the User fails to download the export within the period under Article 6.5, it bears the consequences itself.
6.7Switching to another service. The User may at any time switch to another provider or transfer its data to its own environment (Regulation (EU) 2023/2854, the Data Act). The following applies: a) the export under Art. 6.5 is available at any time during the Contract (Settings → Account → Data and privacy) and for 30 days after it ends, and the Provider charges no fee or cost reimbursement for the export or for switching; b) all Account data are exported: the Account and its users, Legal entities, Apartments and their connections to calendars and PMS, reservations, Guests and their details, settings, UbyPort reports including the log and the confirmations of the foreign police (PDF), data-box messages with delivery receipts (ZFO), sanctions checks, municipal fees, cleanings and the cleaning team, Energy, invoices to Guests and the Provider's invoices, records of sent e-mails and the images of the Guest portal; the format is JSON and CSV (UTF-8, semicolon separator) and files in their original form; the registration book and the house book can be printed to PDF in the Books section, invoices to Guests exported as CSV and ISDOC; c) data serving only the internal operation of the App are not exported: passwords and two-factor codes, encrypted credentials for authorities and platforms, live links for Guests and the cleaning team, sessions and operational logs, the Provider's internal notes and the fingerprints under Art. 3.8; d) the User initiates switching by downloading the export and giving notice, or by notifying info@ubyo.cz; the transitional period during which the Provider continues to provide the service and the necessary assistance is at most 30 days from the initiation of switching; the duration of the Contract and the effect of notice are governed by Art. 6.2; e) after the period under Art. 6.5 expires, the Provider erases the data and confirms the erasure by e-mail to the address of the Account owner; f) the App uses open formats and the Provider imposes no technical, contractual or organisational obstacles to switching.
7.1The scope of the functions of each Plan is set out in the Price List. The Provider develops the App on an ongoing basis and may change, add to or replace functions provided that it does not thereby materially narrow the purpose of the Plan. It gives 30 days' notice of any material narrowing of a Plan; in that case the User may terminate the Contract with effect as of the end of the paid period, with a refund of the proportionate part of an annual subscription.
7.2The Provider endeavours to reflect changes in legislation and in the interfaces of the authorities (UbyPort, ISDS, municipal forms) in the App without undue delay, but does not guarantee that the App corresponds at all times to the current state of the law or to the requirements of a particular municipality. The User keeps track of changes in the legislation that concerns it.
7.3Sanctions screening compares Guests' names against the published EU and Czech sanctions lists as they stood when the Provider last downloaded them. A match is only an alert; the assessment and the decision rest with the User. The Provider is not liable for lists being incomplete or out of date, nor for false positive or false negative matches.
7.4The calculation of the local charge is based on the rates and exemptions that the User sets in the App for its municipality. The User is responsible for their accuracy.
8.1The User declares that it has acquainted itself with the legislation governing the provision of accommodation services (in particular Act No. 326/1999 Coll., on the Residence of Foreign Nationals, Act No. 565/1990 Coll., on local charges, the generally binding ordinances of its municipality, and tax and trade licensing rules) and with the duties arising from it, and that the App is merely a tool for discharging them more easily.
8.2The User discharges its statutory duties itself, on time and in full. It is responsible in particular for: the completeness and truthfulness of information about Legal entities, Apartments and Guests; reporting every foreign national within 3 working days of the start of the stay; keeping the registration book and the house book; correctly calculating, declaring and remitting the local charge; tax obligations; and informing Guests under Article 8.5.
8.3Checking. The User checks in the App, on an ongoing basis and no later than before each statutory deadline expires, the state of reports and submissions (delivery receipts, error messages, unsubmitted records), the state of iCal and PMS connections, and the state of Guests' check-ins. The User maintains a working e-mail address and keeps the App's alerts switched on; alerts are an aid and a failure to deliver one does not relieve the User of its duty to check. If the User identifies an error or an outage, it submits the report by other means (for example directly in UbyPort) and notifies the Provider of the defect under Article 10.5.
8.4Third-party data. The User checks reservations and Guest data arriving from iCal, a PMS or from Guests before submission. The Provider is not liable for incorrect, incomplete or late data from those sources, nor for Guests who do not complete the check-in; the User enters and reports such Guests manually.
8.5Informing Guests. As the controller of personal data, the User informs Guests that it processes their data for the statutory records of accommodated persons and that it uses the App for that purpose; the App displays this information in the check-in form and the Provider recommends stating it in the platform profile as well (a template is in Annex 2).
8.6Automatic submission to UbyPort is an optional function that the User switches on for an individual Apartment. The App submits a report no earlier than the day after arrival and only for foreign-national Guests who completed the check-in via the private link to the reservation, whose details passed the format check, and whose reservation is held in the App as confirmed; after 3 unsuccessful attempts it waits for the User's decision. Guests entered via the Apartment's permanent link, manually or with incomplete details are not submitted automatically. The User verifies that the report was accepted (delivery receipt) and submits everything else manually within the deadline.
8.7Your own copy. The User regularly, at least once a month, downloads an export of the registration book and the submission confirmations for its own archive. The archive in the App is an additional service; the Provider's liability for loss of data extends no further than restoring the last available backup.
8.8The User uploads to the App only content to which it holds the rights (photographs, guest portal texts, manuals) and only data that it is entitled to process. It does not enter special categories of personal data (such as health data), birth numbers or copies of documents.
8.9The User uses the App only for its intended purpose and in compliance with legislation and with the terms of the connected third parties.
9.1The App communicates with third-party systems (UbyPort, ISDS, platforms' iCal calendars, PMS APIs, the ARES and ADIS registers, sanctions lists, a weather forecast service). Use of those systems is governed by their own terms. The Provider is not liable for their availability, changes, errors or limitations, nor for the content that the App takes from them or passes to them.
9.2The User sets up and disconnects connections itself. If a third party interrupts a connection (an API change, a token being revoked, an iCal link being changed), the User will identify this by checking under Article 8.3 and shall put it right.
9.3The App records every submission (UbyPort, ISDS, a message to a Guest, an e-mail) with the time, the content and the result. The record is available to the User for download for the period set out in Annex 1.
10.1The Provider provides the App with professional care and strives for uninterrupted availability. It does not guarantee, however, uninterrupted or error-free operation. Interruptions for which the Provider is not liable include in particular scheduled maintenance (announced in the App at least 24 hours in advance), action needed to avert a security risk, an outage of the hosting, the network or the electricity supply, an outage or change of third-party systems, an attack on the App, and force majeure.
10.2The Provider backs up data daily (retained for 14 days) and makes an archive backup once a month (retained for 3 months).
10.3Support is provided to all Users alike and exclusively electronically (e-mail info@ubyo.cz, the Help) on working days. The Provider does not provide telephone support or a guaranteed response time. In communication with support the User quotes its customer number and the error code that the App displays with every error message.
10.4All communication, including invoices and notices of termination, takes place electronically. The Provider sends operational and contractual notices (a change to the Price List or the Terms, scheduled maintenance, payment reminders) by e-mail to the Account owner's sign-in address and displays them in the App; these are not marketing messages and cannot be unsubscribed from. An e-mail is deemed delivered on the working day following its dispatch to the address given in the Account.
10.5Defects. The User shall report a defect in the App or a breach of the Contract by e-mail no later than 7 days after identifying it, with a description and the time. If it fails to report it in time, its rights arising from the defect lapse. The Provider shall remedy the defect within a reasonable period; no claim to a price reduction arises in respect of defects that do not prevent use of the App. If a defect attributable to the Provider prevents use of the App for more than 3 consecutive days, the User is entitled to a proportionate reduction of the subscription for the period of unavailability; that is its only claim arising from such a defect.
10.6Point of contact (Regulation (EU) 2022/2065, Digital Services Act). The Provider's single point of contact for Member State authorities, the European Commission and the European Board for Digital Services, as well as for Users and Guests, is: Sierra Apartments s.r.o., Františka Diviše 1603/20A, 104 00 Prague, Czech Republic, e-mail info@ubyo.cz, data box gw6xygi. Communication is possible in Czech or English. Notices concerning content stored by a User in the App (in particular in the Guest portal) that the notifier considers illegal are sent to the same address with a link to the content, the reason and the notifier's contact details; the Provider assesses them without undue delay.
11.1The Provider is liable for damage caused by breach of its obligations under the Contract up to a maximum of the amount of the subscription paid by the User over the 12 months preceding the damaging event for the Apartment to which the damage relates.
11.2The Provider is not liable for: lost profit and indirect or consequential damage; fines, default interest and other penalties imposed on the User by public authorities; damage caused by incorrect, incomplete or late information from the User, Invited persons, Guests or third parties; the User's failure to meet deadlines; misuse of credentials; an outage or change on the part of third parties; use of the App contrary to the Contract or its purpose; or a decision taken by the User on the basis of the informative content under Article 2.4 or the sanctions screening under Article 7.3.
11.3The limitations under Articles 11.1 and 11.2 do not apply to harm caused intentionally or by gross negligence, or to harm in respect of which the law does not permit limitation (Section 2898 of the Civil Code).
11.4Indemnity. If a third party (a Guest, an authority, a platform, another entity) asserts a claim against the Provider in connection with the User's data, content or conduct, that of its Invited persons, or a breach of the Contract by the User, the User shall indemnify the Provider and reimburse the costs incurred, including reasonable legal representation costs.
11.5Neither party is liable for an event of force majeure (in particular an outage of infrastructure beyond the Provider's control, an attack, action by a public authority, or a natural disaster).
12.1For the term of the Contract, the Provider grants the User a non-exclusive, non-transferable licence to use the App within the scope of the Plan for the User's own Apartments. Sub-licensing, sharing the Account with other businesses, making the App available to third parties and reselling it are not permitted.
12.2The User may not copy, modify, decompile or reverse-engineer the App, circumvent its technical or plan-related limitations, download content from it by automated means, or place an above-normal load on it. The content of the Help and the guidance is protected by copyright and may be used only for the User's own needs.
12.3Content that the User uploads to the App remains the User's; the User grants the Provider the right to store, display and process it in the App to the extent necessary to provide the service.
12.4The Provider may use anonymous aggregate statistics on the operation of the App (for example occupancy by region) from which neither a User nor a Guest can be identified.
13.1The Provider processes the personal data of the User, the Account owner and Invited persons as a controller in accordance with the Privacy Policy (ubyo.cz/ochrana-osobnich-udaju).
13.2The Provider processes Guests' personal data as a processor for the User as controller. The rights and obligations are governed by the Data Processing Agreement (Annex 1), which the parties conclude together with the Contract.
14.1The Contract is governed by the law of the Czech Republic, in particular Act No. 89/2012 Coll. The general court of the Provider has territorial jurisdiction to decide disputes.
14.2The Provider may amend the Terms to a reasonable extent (Section 1752 of the Civil Code), in particular because of a change in legislation, in the authorities' interfaces or in the functions of the App, or in order to increase legal certainty. It gives notice of the change by e-mail and in the App at least 14 days before it takes effect. A User who does not agree with the change may terminate the Contract before the date it takes effect, with effect as of the end of the paid period; otherwise the User is deemed to have accepted the change. The User declares that 14 days is sufficient to arrange an alternative solution. Changes solely to the User's benefit (for example a lower price, an extended service or a narrower scope of restrictions) and changes required by legislation or by a decision of a public authority may be made by the Provider with immediate effect, or as of the date set by the legislation or decision; it gives notice of them without undue delay. A User who does not agree with a change required by legislation or a decision may terminate the Contract with effect as of the end of the paid period.
14.3The User may not assign its rights under the Contract without the Provider's consent. The Provider may assign the Contract to a successor that takes over the operation of the App; it shall notify the User.
14.4If any provision is invalid or unenforceable, it shall be replaced by a provision that comes closest to its purpose; the remaining provisions remain in force. The Czech wording is decisive.
14.5These Terms (version 4) take effect on 18 October 2026 for Contracts concluded from that day; for Contracts concluded earlier they take effect on 2 November 2026 (Article 14.2), and changes exclusively in the User's favour (end of a monthly Plan at the end of the paid period, cancellation of an unpaid invoice for a period that did not start, Blocking no earlier than after the paid period ends) apply immediately. They replace the Terms version 3 effective from 1 October 2026.
A separate document (ubyo.cz/zpracovatelska-smlouva).
In the Czech Republic, accommodation providers are required to keep records of the people they accommodate and to report the stay of foreign guests to the foreign police. Before you arrive we will therefore ask you to complete a short online check-in (name, date of birth, nationality, document number, address). We process the data only for these statutory records, keep it for 6 years as the law requires, and pass it on only to the authorities. We use the Czech app Ubyo for this (ubyo.cz/ochrana-osobnich-udaju). We do not need a copy of your document.
